Terms of Service
These terms govern your use of this website and, where a separate appointment document does not say otherwise, the provision of structural design services by Daylight.
Last updated: 18 August 2026
1. Parties and acceptance
These terms are between you and Daylight, [JURISDICTION PLACEHOLDER: insert legal entity and registered office — review]. By using this website or accepting a proposal from us, you accept these terms. Where a signed appointment or professional services agreement exists, that document takes precedence over these terms to the extent of any conflict.
2. Website content
Material on this site, including project descriptions and technical commentary, is published for general information. It is not engineering advice and must not be relied upon for the design, construction, alteration, or assessment of any structure. Structural advice is given only under a written appointment for a specific project.
3. Scope of services
Our services are limited to the scope, stages, and deliverables set out in the accepted proposal. Work not listed — including quantity surveying, architectural design, mechanical or electrical engineering, temporary works design, site supervision beyond agreed inspection visits, and statutory approvals held by others — falls outside our scope unless separately agreed in writing.
Design is prepared to the codes and standards stated in the proposal. [JURISDICTION PLACEHOLDER: confirm applicable design codes and building regulations — review]
4. Client obligations
You agree to provide accurate site information, existing drawings, survey and geotechnical data, and timely decisions and approvals. We are entitled to rely on information supplied by you or by other consultants without independent verification. Where information is incomplete we will state the assumption on the relevant drawing or report.
5. Variations and programme
Changes to the brief, site conditions, statutory requirements, or the work of other consultants may require additional engineering. We will notify you in writing of the effect on fee and programme before undertaking additional work. Programme dates are estimates dependent on the timely receipt of information.
6. Fees, invoicing, and payment
Fees are stated in the proposal as a percentage of construction value, a fixed fee, or a monthly retainer. Invoices are issued monthly against stage progress, are payable within 30 days of receipt, and are exclusive of applicable taxes and disbursements. We may suspend services after written notice if an undisputed invoice remains unpaid.
Late payment interest and statutory payment rights: [JURISDICTION PLACEHOLDER: confirm applicable late payment legislation and rate — review]
7. Intellectual property
Copyright in drawings, calculations, models, and reports remains with Daylight. On payment of all fees due, you receive a non-exclusive, non-transferable licence to use those deliverables for the construction, completion, occupation, maintenance, and alteration of the project for which they were prepared. Use on any other site or project is not permitted without our written consent.
8. Professional standard and liability
We exercise the reasonable skill, care, and diligence expected of a competent structural engineer providing comparable services. We give no warranty of fitness for purpose beyond that standard.
Our total liability arising out of or in connection with an appointment is limited to the amount of our professional indemnity insurance cover for that appointment, and we are not liable for indirect or consequential loss, loss of profit, loss of use, or loss of contract. Liability is further limited to the proportion of loss for which we are responsible where others share responsibility.
Cover level, liability cap, and any statutory limits that cannot be excluded: [JURISDICTION PLACEHOLDER: confirm insurance cover, liability cap, and non-excludable rights — review]
9. Suspension and termination
Either party may terminate an appointment on 14 days' written notice, or immediately for material breach that is not remedied within 14 days of notice. On termination you pay for services performed and commitments properly incurred up to the termination date. Clauses on intellectual property, liability, confidentiality, and governing law survive termination.
10. Confidentiality
Each party keeps the other's commercially sensitive information confidential, except where disclosure is required by law, by a statutory authority, or to insurers and professional advisers. We may publish images and a general description of completed work once the project is in the public domain, unless you tell us otherwise in writing.
11. Dispute resolution and governing law
The parties will first attempt to resolve a dispute by senior representatives meeting within 14 days of written notice, then by mediation before commencing proceedings.
Governing law and exclusive jurisdiction: [JURISDICTION PLACEHOLDER: insert governing law, courts, and any mandatory adjudication regime — review]
12. Changes to these terms
We may update these terms for future engagements and website use. The version in force for an existing appointment is the version attached to or referenced in the accepted proposal.
